01The Service
The Service is provided by SUPERPOSE Co., Ltd. (“we”, “us”) as a referral partner of our partner payment institution. We help you apply for the institution’s payment services (virtual accounts, credit cards and convenience-store payments) and provide system services such as integration support, transaction lookup and reconciliation.
Collection, settlement and payout of funds are performed by the partner payment institution under the contract it signs with you, and paid directly to the company account you designate. We do not handle, hold or pay out any funds, and we are not an electronic payment institution or an acquirer. Whether a payment method is enabled depends on the partner institution’s review and rules.
02Application and review
Applications must be made in the name of a company with accurate, complete and current information. We review each application against the submitted data and applicable rules, and may ask you to correct or supplement it.
We decide whether to accept an application based on the review and reserve the right to decline or end the relationship. Review results and correction requests are sent to the email address on the application.
03Merchant obligations
- Keep the application data, company account and store information accurate and up to date, and update them when they change.
- Use the Service only for lawful goods and services and comply with the rules of our partner institutions and regulators.
- Keep progress-page links and notification emails confidential and do not share them with unauthorised persons.
- Take full responsibility for delivering goods, after-sales service, returns and refunds to your customers.
04Rates and billing
Rates shown on the website are reference rates and represent the total cost you bear for each payment method. The part that is the partner institution’s fee is charged by the institution under your contract with it; the part that is our system processing fee is charged under your contract with us. Formal rates and payout terms are those in the respective contracts.
We provide monthly transaction details and reconciliation information. The system processing fee is settled monthly and invoiced by us with a uniform invoice.
05Payouts, refunds and disputes
Payout cycles, refunds, chargebacks and disputed payments are handled under your contract with the partner payment institution and its rules; the institution may deduct amounts from collected funds or withhold payouts under those rules. Where needed we help you liaise with the institution and may ask you for transaction evidence.
If incorrect account or application details delay activation or a payout, you must correct them promptly; the resulting delay is not a breach on our side.
06Prohibited conduct
- Selling goods or services that are illegal or restricted by our partner institutions.
- Providing false information or applying under another person’s name or account.
- Money laundering, fraud, transactions not authorised by the cardholder, or any attempt to circumvent risk controls.
- Interfering with the Service or submitting applications in bulk by automated means.
07Suspension and termination
If you breach these terms, the partner institution’s rules or the law, we may suspend or terminate the Service; the partner institution may also suspend or terminate its payment services under its contract, and funds not yet paid out are handled under its rules.
You may end the relationship at any time by written notice; obligations arising from transactions already made continue to apply.
08Limitation of liability
To the extent permitted by law, we are not liable for interruptions or delays caused by partner institutions, banks, networks or force majeure. Our liability to you is limited to the fees we charged you during the period in dispute.
09Intellectual property
The website, documents and brand marks of the Service belong to us or our licensors and may not be copied or reused without written consent. You allow us to use your store name and marks to the extent needed to provide the Service.
